Terms of Service

By creating an account or using Zenly™ ("the Service"), you confirm that you have read, understood, and agreed to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement. If you are under 18, you may not use the Service under any circumstances.

2. Use of the Service

Zenly is a portfolio tracking and analytics tool intended for personal, non-commercial use. You agree to use the Service only for lawful purposes and in accordance with these Terms.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@zenly-financial.com if you suspect any unauthorized use of your account.

4. Not Financial Advice

Zenly provides portfolio data, analytics, and AI-generated commentary for informational purposes only. Nothing on the Service constitutes financial, investment, tax, or legal advice. Any AI-generated content, portfolio scores, analysis, or suggestions are informational tools only they do not take into account your individual financial situation, goals, or risk tolerance. You should consult a qualified financial professional before making any investment decisions.

5. Brokerage Connections

Connecting a brokerage account grants Zenly read-only access to your holdings and balances via SnapTrade. We cannot execute trades, transfer funds, or take any action that modifies your brokerage account. You may revoke access at any time through the Broker settings page or directly through your brokerage. By connecting a brokerage account, you agree to SnapTrade's terms and conditions in addition to these Terms.

6. Data Accuracy

Market data is sourced from third-party providers and may be delayed or occasionally inaccurate. Zenly makes no guarantee of the accuracy, completeness, or timeliness of any data displayed on the Service. Do not rely on data shown on Zenly as the sole basis for any financial decision.

7. Prohibited Conduct

You agree not to:

• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Use automated scripts, bots, scrapers, or other means to extract data from the Service without our express written permission.
• Resell, sublicense, or commercially exploit the Service or any data obtained through it.
• Impersonate another person or entity or misrepresent your affiliation with any person or entity.
• Upload or transmit viruses, malware, or any other malicious code.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Violate any applicable local, national, or international laws or regulations.

8. Intellectual Property

All content, design, code, trademarks, and trade dress of the Service, including the name "Zenly™" and associated logos, are owned by or licensed to Zenly Financial, Inc. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our express written permission. Nothing in these Terms grants you any right, title, or interest in the Service or its intellectual property beyond the limited license to use the Service as described herein.

9. Termination

You may delete your account at any time from the dashboard. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and dispute resolution) will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK.

11. Billing and Subscriptions

Free Trial. New accounts receive a 14-day free trial of Zenly Pro, no credit card required. If you do not subscribe to a paid plan before the trial ends, your account will lose access to paid features. Your brokerage connection and any holdings synced through it will be permanently deleted a few days after access ends unless you subscribe before then; manually entered holdings, transaction history, and other portfolio data are not affected.

Subscription Plans and Pricing. Paid plans and their pricing are described on the pricing page and may vary by features, usage limits, and billing cycle (monthly or annual). Some accounts may be granted free or complimentary access at our discretion; this does not entitle any user to free access on an ongoing basis.

Automatic Renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until that date and will not be charged for subsequent periods.

Refund Policy. All fees are non-refundable except where required by applicable law. We do not issue refunds or credits for partial billing periods, unused time on a plan, or unused features. If you believe a charge was made in error, contact us at support@zenly-financial.com within 30 days of the charge.

Price Changes. We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price increase by email to the address associated with your account. Continued use of a paid subscription after the effective date of a price change constitutes acceptance of the new price.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZENLY FINANCIAL, INC. AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively by binding individual arbitration administered by a recognized arbitration body (such as JAMS or AAA) in accordance with its applicable rules, rather than in court. You and Zenly Financial, Inc. each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or any other representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized access to the Service.

If arbitration is found to be unenforceable for a particular claim, that claim shall be brought in a court of competent jurisdiction as set out in Section 14 below, and all other claims shall remain subject to arbitration.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. For any claims not subject to arbitration under Section 12, you and Zenly Financial, Inc. consent to the exclusive jurisdiction of the state and federal courts located in Florida.

15. Force Majeure

Zenly Financial, Inc. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, internet outages, third-party service failures (including Supabase, SnapTrade, or data providers), or power failures.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions of these Terms shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zenly Financial, Inc. with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, or warranties regarding the Service.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email to the address associated with your account or by posting a prominent notice on the Service. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
